Significance and Impact
The partnership is aimed at creating India’s first fully integrated private-sector railwheel manufacturing platform, covering the complete value chain from raw material processing to finished railway wheels, axles and wheelsets, combining Jupiter Wagons’ manufacturing capabilities with Lucchini RS’s expertise in railwheel technology, engineering and metallurgy.
The deal is backed by the Government of Italy through the Sistema Italia framework, coordinated by the Italian Ministry of Foreign Affairs, with financial and advisory support from CDP. SIMEST, the internationalisation arm of the state-controlled CDP Group, will participate as an equity investor, while CDP Group will provide dedicated financial and advisory support to Lucchini RS.
The partnership leverages JTRWF’s existing facility in Chhatrapati Sambhajanagar, which currently handles machining and wheelset assembly, and will be integrated with a new greenfield manufacturing complex in Odisha. Production at the Odisha plant is scheduled to begin progressively between 2027 and 2028 as development milestones are completed.
The Jupiter Wagons Lucchini RS partnership represents a significant milestone in India’s ambition to indigenise critical railway component manufacturing. With the combined legal expertise of Trilegal and JSA, the transaction’s complex multi-document structure — spanning governance, technology, commercial collaboration, and supply arrangements — has been comprehensively addressed. The Italian government’s active backing through Sistema Italia further underscores the strategic, bilateral dimension of the deal.
