TT&A and JSA Advocates & Solicitors have acted on the Romsons Temasek investment, as Romsons Group Private Limited secured a strategic minority stake acquisition from Jongsong Investments Pte. Ltd., an indirect wholly owned subsidiary of Temasek Holdings (Private) Limited. The transaction also involved the sale of certain shares of Romsons by its promoter group and other shareholders to Temasek.

Introduction

Romsons Group Private Limited has secured an investment from Jongsong Investments Pte. Ltd., an indirect wholly owned subsidiary of Temasek Holdings (Private) Limited. The proposed combination entails an internal restructuring by Romsons Group and subscription to certain compulsorily convertible preference shares (CCPS) and acquisition of certain equity share capital of Romsons by Jongsong Investments.

Jongsong Investments is an investment holding company and an indirect wholly-owned subsidiary of Temasek Holdings. Romsons Group is engaged in the manufacturing and sale of medical devices, and personal care and hygiene products in India and globally, through exports. The Competition Commission of India (CCI) approved the proposed combination on 16 June 2026.

TT&A advised Romsons with relation to the investment as well as the sale of certain shares of Romsons by the promoter group and other shareholders to Temasek. JSA Advocates & Solicitors advised Temasek on this transaction.

Founded in 1952 by Ram Lal Khanna, Romsons pioneered the transition from reusable surgical equipment to single-use, disposable medical devices in India to reduce hospital infection rates. Romsons Group has brought Temasek on board as a minority investor in a strategic private equity transaction aimed at funding the medical devices maker’s expansion in India and overseas and supporting potential acquisitions. The partnership is aimed at supporting Romsons’ expansion while strengthening its product portfolio, manufacturing capabilities, technology, and organisational processes.

Romsons said it would also assess the possibility of accessing public markets at an appropriate time, subject to its business trajectory and prevailing market conditions.
