Warburg Pincus Integrace Acquisition: CAM, Khaitan & Co, and JSA Advise on Full PE Exit Deal

The Warburg Pincus Integrace acquisition, announced on 15 July 2026, marks a 100% buyout of a leading domestic pharmaceutical formulations company by one of the world’s most established growth equity investors. As part of the transaction, existing shareholders True North and Temasek fully exited their investment in the company. Three top-tier Indian law firms — Cyril Amarchand Mangaldas, Khaitan & Co, and JSA Advocates & Solicitors — provided comprehensive legal counsel across the deal.

Introduction

Warburg Pincus announced the acquisition of Integrace Private Limited, a leading domestic formulations company focused on orthopedics and gynecology. True North and Temasek fully exited Integrace, where they jointly held a 99.74% stake. The transaction was structured as a 100% acquisition, with True North Fund VI LLP exiting via its fund vehicle and Temasek exiting through its special purpose vehicle, V-Sciences Investments Pte Ltd.

Integrace has built a differentiated portfolio of more than 20 brands across attractive high-growth markets and, through its scientific marketing practices, has built trusted relationships with over 45,000 healthcare professionals across India. The company’s core therapeutic focus spans orthopedics, pain management, pregnancy care, and women’s health, with five power brands ranking among the top three in their respective markets.

JSA Advocates & Solicitors — Advised Temasek

Significance and Impact

The deal comes amid continued investor interest in India’s pharmaceutical sector, which has seen steady demand growth, with segments such as women’s health and orthopedics attracting attention from healthcare investors.

Warburg Pincus has been investing in India for three decades and, over time, has built one of the country’s most established healthcare investment franchises, partnering with leading businesses across pharmaceuticals, medical technology, healthcare services and life sciences. The Integrace acquisition adds a therapy-focused, brand-led domestic formulations platform to that portfolio.

The transaction is also notable for the scale and specialisation of legal advisory deployed. Cyril Amarchand Mangaldas fielded ten distinct practice teams — covering areas as varied as competition law, ABAC/AML sanctions diligence, ESOP structuring, and pharma regulatory — reflecting the layered complexity of a 100% PE buyout in the healthcare sector. Khaitan & Co’s simultaneous representation of both the selling fund and the target company, with a dedicated vendor due diligence workstream, further illustrates the transactional depth involved.

For True North and Temasek, the exit represents a full realisation of their investment made through True North Fund VI LLP and V-Sciences Investments Pte Ltd respectively. True North and Temasek jointly held a 99.74% stake in Integrace at the time of the transaction.

The Warburg Pincus–Integrace transaction is a significant milestone in India’s specialty pharmaceuticals M&A landscape, combining a complete PE exit with a strategic buyout by one of the country’s most active healthcare investors. The acquisition underscores Warburg Pincus’ strategy of building scaled, therapy-focused pharmaceutical platforms in India, where rising healthcare awareness, increasing incomes, and expanding access to quality healthcare continue to drive long-term market growth. With three leading law firms deploying multi-practice teams across the transaction, this deal sets a benchmark for legal advisory depth in Indian healthcare M&A.
