JSA represented Coforge Limited (“Coforge”) in its intended purchase of a controlling stake in Cigniti Technologies Limited (“Cigniti”) for around USD 256 million.
The acquisition involved Coforge making a mandatory open offer to Cigniti’s public shareholders as per SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.
The transaction additionally included Coforge’s subsidiary securing financing of up to USD 250 million from the Hongkong and Shanghai Banking Corporation, GIFT city branch, on May 2, 2024. Coforge also planned to raise funds through a Qualified Institutional Placement (QIP) to finance the acquisition.
