Lakshmikumaran and Sridharan acts for Pacific Avenue Capital Partners in connection with the Indian leg of the global transaction, involving the acquisition of the fire suppression systems and safety controls business of Kidde-Fenwal, Inc.

Lakshmikumaran and Sridharan represented Pacific Avenue Capital Partners in connection with the Indian leg of a global transaction, involving the acquisition of substantially all the assets pertaining to the fire suppression systems and safety controls business of Kidde-Fenwal, Inc. across various jurisdictions, including the United States of America, United Kingdom and India

The firm’s role included conducting a legal due diligence on the Indian entities with respect to the assets being contributed; reviewing and providing comments from an Indian law perspective to the global level transaction documents; advising on the India level restructuring; drafting, reviewing, negotiating and finalising the transaction documents in connection with the Indian leg of the transaction and assisting with closing of the Indian leg of the transaction.

Pacific Avenue Capital Partners is a Los Angeles-based private equity firm focused on corporate carve-outs and other complex situations in the middle market.

Kidde-Fenwal, Inc. is a world leader in designing and manufacturing industrial and commercial fire suppression systems and safety controls.

The transaction was led by Mr. Gaurav Dayal, Partner and Mr. Sushrut Biswal, Partner.

Mr. Paritosh Chauhan, Partner provided specific inputs on employment related matters and the commercial agreements emanating from the Indian leg of the transaction.

Ms. Neelambera Sandeepan, Partner advised on the competition law related matters pertaining to the Indian leg of the transaction.

Mr. Suhaas Arora, Principal Associate assisted with drafting and finalisation of the India leg transaction documents and other closing related matters.
