JSA provides legal counsel to Pl Industries Limited regarding the announcement on making Rule 2.7 offer to acquire Plant Health Care plc
JSA assisted PI Industries Limited (“PI”) in making an offer announcement to acquire Plant Health Care Plc (“PHC”), a UK company traded on AIM under Rule 2.7 of the UK City Code on Takeovers and Mergers (“2.7 Announcement”).

According to the 2.7 Announcement, PI’s Dubai-based subsidiary plans to acquire all issued shares of PHC through a court-sanctioned scheme of arrangement under English law, including the City Code on Takeovers and Mergers and Part 26 of the Companies Act 2006. The Proposed Acquisition is contingent upon majority approval from PHC shareholders and approval from English courts.
PI a leader in the agricultural inputs industry with over seventy years of experience, seeks to enhance its portfolio by integrating PHC’s pioneering protein/peptide technology in agricultural biologicals. PHC, known for its technologies and subsidiaries in the US, Brazil, and Mexico, will complement PI’s existing biological products and expand its development and registration pipeline.
The acquisition will allow PI Industries to offer comprehensive agricultural solutions combining chemicals and biologicals. It grants PI access to PHC’s advanced biological and peptide technology in Plant Immunity Inducers, complementing PI’s existing eight biological products and expanding its development pipeline. This integration strengthens PI’s global capabilities in key agricultural markets by combining PHC’s technologies with PI’s established chemical portfolio.
