JSA provided legal counsel to Axis Capital Limited for the initial offering of units of Nxt-Infra Trust (“InvIT”) on a private placement basis, totaling ₹15,200.00 million
Actis Highway Infra Limited, an entity affiliated with Actis, serves as the InvIT’s Sponsor.
As part of this transaction, the InvIT acquired a portfolio of six road assets. The units of the InvIT were subsequently listed on the NSE on July 2, 2024.
The JSA team involved in the transaction include Arka Mookerjee as Lead Partner, Pracheta Bhattacharya – Partner, Sourav Modi – Senior Associate, and Jeebitesh Bhattacharya – Associate.
Nxt-Infra Trust is a registered Indian infrastructure investment trust which proposes to invest in road infrastructure assets in India. The Trust proposes to have an initial portfolio of six Project SPVs comprising 14 road stretches spanning an aggregate length of over 2000 lane kilometres, located across Delhi, Haryana, Uttarakhand, Uttar Pradesh and Maharashtra in India. The portfolio is a mix of toll and annuity assets.
The Trust is sponsored by Actis Highway Infra Limited (the “Sponsor”), part of the Actis Group, which is a global investor in sustainable infrastructure.
