Godrej Family Settlement: Cyril Amarchand and AZB Facilitate Realignment

Cyril Amarchand Mangaldas and AZB & Partners are representing two branches of the Godrej family in a significant settlement arrangement aimed at realigning the Godrej Group, one of India’s most established and expansive business conglomerates.

Cyril Amarchand Mangaldas is acting on behalf of the family branches led by Adi Godrej and Nadir Godrej. The team is led by Managing Partner Cyril Shroff, supported by partners Rishabh Shroff and Ramgovind Kuruppath. Principal Associate Archit Bhatnagar and Senior Associates Surabhi Saboo and Nikita Singhi also played key roles. The firm’s competition law and corporate practice teams provided additional support.

AZB & Partners is advising the branches led by Jamshyd Godrej and Smita Godrej Crishna. Their team is headed by Managing Partner Zia Mody and Senior Partner Vaidhyanadhan Iyer, with key contributions from Partner Vasudha Asher, Senior Associate Sana Nagar, and Associates Shivani Shenoy and Pavit Kaur.

Settlement Agreement and Future Steps

The settlement arrangement includes a family settlement agreement and a brand and non-compete agreement, defining the mutual understanding regarding the use of the Godrej brand. This realignment is subject to necessary regulatory approvals.

Business Implications

Following the announcement of the family settlement, the Adi Godrej and Nadir Godrej group announced an open offer to public shareholders to acquire stock in Astec Lifesciences.
