JSA and Trilegal Facilitate L&T Semiconductor’s 100% Acquisition of Siliconch Systems

The acquisition of Siliconch enhances L&T Group’s capabilities in the fabless semiconductor sector.

JSA advised L&T Semiconductor Technologies Limited (LTSCT), a subsidiary of Larsen & Toubro Limited, on its complete acquisition of Siliconch Systems Private Limited. Siliconch, a fabless semiconductor design company, specializes in System-on-Chip IP and boasts 30 granted patents across various regions.

Trilegal represented Siliconch and its co-founders in the sale of 100% of the company’s shares to LTSCT, which involved its co-founders, investors, and other shareholders.

The acquisition cost comprised an upfront payment of INR 133 crore at closing, subject to customary adjustments, and a deferred payment of INR 50 crore over four years, contingent on specific targets and conditions.

JSA’s transaction team included Partners Venkatesh Raman Prasad and Ronak Ajmera, along with Principal Associates Ankita Jain and Sweta Singh, Senior Associate Jatin Talwar, and Associates Udit Rao and Nishka Tyagi. The competition team consisted of Partners Vaibhav Choukse and Ela Bali, with Senior Associate Aditi Khanna contributing.

The signing and closing processes were managed by Partners Gerald Manoharan and Sonakshi Das, with Senior Associate Prerana Damaraju. Additionally, K&S Partners advised on Indian intellectual property issues, while Hamre, Schumann, Mueller & Larson provided counsel on US patent matters.

This acquisition is expected to bolster L&T Group’s presence in the fabless semiconductor market, adding critical IP, engineering talent, and design expertise, thus aligning with LTSCT’s growth strategy.
