Texmaco Rail Acquires Jindal Rail Infrastructure for ₹614 Crore

Texmaco Rail & Engineering Limited has successfully acquired Jindal Rail Infrastructure Limited (JRIL) for approximately ₹614 crore. The deal, finalized after adjustments at closing, transfers all rights, titles, and interests of JRIL from its current security holders to Texmaco Rail.

Shardul Amarchand Mangaldas & Co provided legal counsel to Texmaco on this significant transaction. The transaction team from Shardul Amarchand Mangaldas was led by Partners Karun Prakash and Sakshi Mehra, with support from Principal Associate Anshul Chopra, Senior Associate Amrusha Monga, and Associate Ayush Sharma.

The due diligence team included Partners Karun Prakash, Sakshi Mehra, Pooja Ramchandani, Mrinal Kumar, Shrutikirti Kumar, Ritwik Bhattacharya, Binsy Susan, Akshay Sharma, Apoorva Murali, and Anshul Chopra, along with Principal Associates Arnav Sahni, Suryansh Gupta, and Amrusha Monga. Senior Associates involved were Indira Shanker Reddy, and Associates Ayush Sharma, Vaishnavi Singh, Aviral Arun, Aman Gupta, Istuti Kapoor, Shalini Prem, Shivek Sahai Endlaw, Palak Kaushal, Ayushi Thakur, and Arijeet Shukla.

JRIL is recognized for its advanced research and design capabilities and specializes in manufacturing commodity-specific special-purpose wagons primarily for the private sector in India.
