JSA advised HomeLane in a multifaceted transaction involving HomeLane’s acquisition of DesignCafe and a fresh capital raise from a group of investors, including WestBridge, along with DesignCafe’s current backers and new investors, Hero Enterprise and Claypond Capital Partners.
HomeLane has acquired a majority stake in DesignCafe, with plans to fully acquire the company in the future. JSA’s role encompassed conducting legal due diligence on DesignCafe, structuring the transaction, drafting, negotiating, and finalizing deal documents, and overseeing the transaction’s completion.
As key players in India’s organized home interiors sector, HomeLane and DesignCafe are consolidating to enhance their market presence. The combined entity is valued at approximately INR 3,000 crores, aiming to achieve profitability by 2024-2025. Following the transaction, both companies will target specific market segments while leveraging synergies in DesignCafe’s manufacturing capacity, shared marketing initiatives, and integrated supply chain, operations, and procurement processes.
